STANDARD TERMS AND CONDITIONS OF PURCHASE

Vendor Terms and Conditions

This Purchase Order ("PO") is issued by IES Engineering (Private) Limited ("IES Engineering") and is subject to the following terms and conditions. By accepting this PO, Master Electriks ("Vendor") agrees to comply with all terms outlined herein.

1. Scope of Work

The Vendor shall:

- Supply electric DB panels as per the specifications provided by IES Engineering (Private) Limited.

- Perform installation, commissioning, and wire termination work scope at the designated site.

- Ensure the site DB panels are fully operational and compliant with all applicable standards and regulations.

2. Delivery

- The Vendor shall deliver all materials and complete the installation and commissioning within the agreed timeline as specified in the PO.

- Any delays in delivery or completion must be communicated in writing to IES Engineering (Private) Limited immediately, along with a revised timeline.

3. Quality and Compliance

- All materials supplied and work performed shall conform to the highest industry standards and comply with relevant local, national, and international regulations.

- The Vendor shall provide all necessary certifications, test reports, and documentation to verify compliance.

4. Installation and Commissioning

- The Vendor shall ensure that all installation and commissioning activities are carried out by qualified and experienced personnel.

- The Vendor shall conduct thorough testing and inspection to ensure the DB panels are fully operational and safe for use.

5. Warranty

- The Vendor shall provide a minimum warranty period of [insert warranty period, e.g., 12 months] from the date of commissioning for all materials and workmanship.

- During the warranty period, the Vendor shall promptly rectify any defects or issues at no additional cost to IES Engineering (Private) Limited.

6. Payment Terms

- Payment shall be made as per the agreed terms in the PO, subject to satisfactory completion of the work and submission of all required documentation, including invoices, test certificates, and completion reports.

- IES Engineering (Private) Limited reserves the right to withhold payment if the work is not completed as per the agreed specifications or timeline.

7. Indemnification

- The Vendor shall indemnify and hold harmless IES Engineering (Private) Limited and its customers from any claims, damages, losses, or liabilities arising out of the Vendor's work, including but not limited to defects in materials, workmanship, or non-compliance with regulations.

8. Force Majeure

- Neither party shall be liable for delays or failure to perform due to events beyond their reasonable control, such as natural disasters, war, or government actions. The affected party shall notify the other party promptly and take reasonable steps to mitigate the impact.

9. Termination

- IES Engineering (Private) Limited reserves the right to terminate the PO if the Vendor fails to meet the agreed terms, including quality standards, timelines, or compliance requirements. In such cases, the Vendor shall be liable for any costs incurred by IES Engineering (Private) Limited to complete the work.

10. Governing Law

- This PO and the terms herein shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, including the Contract Act, 1872, and any other applicable laws.

11. Entire Agreement

- This PO, along with any attached specifications or documents, constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or representations.

By accepting this PO, the Vendor acknowledges and agrees to all the terms and conditions outlined above.
